End User License Agreement

This End User License Agreement ("EULA") is a legal agreement between you and Audubon Studios LLC, doing business as Audubon Audio ("Audubon Audio", "we", "us"), covering our audio software plugins and any related presets, content, documentation, and updates we provide (together, the "Software"). By downloading, installing, activating, or using the Software — including any free trial — you agree to this EULA. If you don't agree, do not install or use the Software.
1. License grant
Subject to this EULA and payment of any applicable fee, we grant you a personal, non-exclusive, non-transferable, revocable license to install and use the Software on computers you own or control, for your own music production — including commercial productions such as releases, beat sales, sync placements, and client work. Your license serial number is issued to you personally.
2. Free trial
Some Software is offered with a free, time-limited trial (for example, 14 days) so you can evaluate it before purchasing. A trial may include reminders, limitations, or an expiry. When the trial ends, you must purchase a license to keep using the Software. Trials are provided "as is" with no warranty.
3. What you may not do
You may not:
- Share, resell, rent, lease, sublicense, or otherwise transfer the Software or your serial number to anyone else;
- Distribute or upload the Software, or make it available on file-sharing sites or in any bundle or collection;
- Reverse-engineer, decompile, or disassemble the Software, or attempt to derive its source code, except to the limited extent this restriction is prohibited by applicable law;
- Remove or alter any copyright, trademark, or license notices;
- Circumvent, disable, or interfere with license activation or copy protection;
- Use the Software to build a competing product, or redistribute any included presets or samples as a competing preset or sample library.
4. Ownership
The Software is licensed, not sold. We and our licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. This EULA grants you only the limited license expressly stated here.
5. Updates
We may — but are not obligated to — release updates, bug fixes, or new versions. When we do, this EULA governs those updates unless they are accompanied by their own terms. We may change or discontinue a product at any time.
6. Third-party and open-source components
The Software may include third-party or open-source components licensed under their own terms. Those terms govern your use of those components and, where required, are referenced in the product's documentation or "about" information.
7. Disclaimer of warranties
The Software is provided "as is" and "as available", without warranty of any kind, express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.
We do not warrant that the Software will be uninterrupted or error-free, that it will be compatible with every operating system, DAW, or hardware configuration, or that any defect will be corrected. You are responsible for backing up your projects and system.
8. Limitation of liability
To the fullest extent permitted by law, Audubon Audio and Audubon Studios LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, projects, or goodwill, arising from or related to the Software — including any crash, data loss, or project corruption — even if advised of the possibility.
Our total liability for any claim relating to the Software will not exceed the amount you paid for the license giving rise to the claim (or, for free or trial Software, USD $0). Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
9. Termination
This license ends automatically if you breach this EULA, and we may revoke a serial number that is shared, obtained fraudulently, or used in violation of this EULA or our Terms. On termination you must stop using and remove all copies of the Software. Provisions that by their nature should survive (ownership, restrictions, disclaimers, and limitation of liability) survive termination.
10. Governing law
This EULA is governed by the laws of the State of Colorado, United States, without regard to conflict-of-laws rules. Any disputes will be handled in the state or federal courts located in Colorado.
